ListBrain Terms of Use

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and AlphaGenixAI LLC ("we," "us," or "our"), concerning your access to and use of the ListBrain mobile application (the "App") and any related web services.

By downloading, installing, or accessing ListBrain, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree, you are prohibited from using the App and must uninstall it immediately.

2. Licensed Application License

We grant you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to download, install, and use ListBrain on cellular devices or tablets owned or controlled by you, in strict accordance with the App Store Terms of Service and these Terms.

This license does not allow you to:

  • Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App.
  • Distribute, lease, sell, rent, or host the App's backend APIs or interfaces.
  • Remove, alter, or obscure any proprietary copyright or trademark notices.
  • Make the App available over a network where it could be run by multiple devices simultaneously.

3. Eligibility and Child Users

You must be at least 13 years of age to download and run ListBrain. If you are under 18 years of age, you represent that you have your parent's or legal guardian's permission to use the App and that they agree to be bound by these Terms on your behalf.

4. Memory lists, Limits, and Advertising

To deliver a frictionless mobile recall system, ListBrain utilizes a tiered model:

  • Free Ad-Free Threshold: To ensure high organic adoption and seamless testing, your first ten (10) custom lists are completely free and ad-free.
  • Ad-Supported Tier: Once you exceed ten (10) custom lists, the App will display non-intrusive mobile advertisements (served via Google AdMob) during navigation or session transitions to support AWS computation costs.
  • Premium Upgrades: You can permanently remove all advertisements and unlock unlimited list creation via a secure single in-app purchase (IAP) or subscription as presented in the App.

5. Intelligent AI Hint Systems

ListBrain leverages state-of-the-art Large Language Models (LLMs) hosted on Amazon Bedrock (Claude 3 Haiku) to automatically categorize memory lists and generate customized, educational hint suggestions. You acknowledge and agree that:

  • AI hints are intended for study/gameplay trigger purposes only and may occasionally contain minor inaccuracies or omissions.
  • You are solely responsible for verifying critical lists (e.g. medical study materials, security credentials).
  • You will not use the prompt hint generators to submit malicious, illegal, offensive, or harassing phrases. We reserve the right to temporarily or permanently rate-limit accounts violating usage limits.

6. App Store Specific Provisions (Apple Devices)

If you downloaded the App via the Apple App Store, the following terms apply:

  • Acknowledgement: You acknowledge that this agreement is solely between you and us, and not with Apple Inc. We, not Apple, are responsible for the App and its content.
  • Maintenance and Support: We are solely responsible for providing any maintenance or support services. Apple has no obligation whatsoever to furnish support.
  • Product Claims: We, not Apple, are responsible for addressing any claims relating to the App, including product liability or intellectual property infringement claims.
  • Third-Party Beneficiary: Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce them against you.

7. Warranty Disclaimers

LISTBRAIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE APP WILL MEET YOUR MEMORY RETENTION GOALS. YOU EXPRESSLY USE Generative AI SERVICES AT YOUR OWN DISCRETION AND RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHAGENIXAI LLC AND ITS SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOST DATA AND SAVED LISTS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY SHALL NEVER EXCEED THE SUM PAID BY YOU IN THE APP OVER THE PAST TWELVE MONTHS.

9. Termination and Wipes

We reserve the right, without notice and at our sole discretion, to terminate your license to use the App, or block your access to the AWS APIs if we discover abuse, fraudulent payments, or server denial-of-service attempts. You may terminate these Terms by permanently deleting the App from your devices.

10. Governing Law

These Terms and your use of ListBrain are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state and federal courts located within Delaware.
